This Statement of Work (SOW) defines the scope of work to be accomplished and the tasks to be performed by JSMN International, Inc information technology department (herein after referred as JSMNIT) for JSMN Human Resource Department (herein after referred as JSMN HR) under the terms and conditions of the applicable versions (current versions or future versions as and when rolled out/made applicable) of the JSMNIT Framework Agreement and JSMNHR Provider Attachment.
In the event of any conflict among the terms and conditions of the Framework Agreement, the Provider Attachment and the Statement of Work, the following order of precedence will prevail:
This project will involve the JSMNIT team and JSMNHR Department.
On completion of successful knowledge transition, the JSMNIT will follow the JSMNHR processes to execute the technical deliverables as per the priorities set by JSMNHR Dept. In the absence of clearly defined processes, JSMNIT will work with the Human Resource Department in establishing mutually agreed procedures.
The tasks to be performed by JSMNIT have been referred to as "JSMNIT Responsibilities" in this SOW. It is the responsibility of JSMNHR to fulfill its responsibilities and obligations as stated under various Sections of this SOW.
The current place of work for this assignment is JSMN International, Inc at New Jersey, USA.
JSMN International, Inc, reserves the right to change location for development team in case of space crunch at the location. JSMN HR will work out JSMN International, Inc’s Jersey City, Office.
This SOW defines the scope of work to be accomplished by JSMNIT and specific responsibilities for various activities / tasks planned to be performed and completed by JSMNIT with inputs from and / or participation of JSMNHR. It will be the joint responsibility of JSMNIT and JSMNHR team to complete the entire project defined in this SOW, subject to various terms and conditions specified in this SOW and various assumptions given below. The successful completion of this SOW depends upon the full commitment and participation of JSMNHR.
Changes to this SOW will be processed in accordance with the procedure described in the section Change Control Procedure.

While preparing this SOW the following key assumptions have been made. Any change in the following assumptions may have an impact on cost, schedule, approach and staffing plan in the SOW, which will be managed through Change Control Procedure as applicable.
This section describes the scope of services to be performed by JSMNIT under this SOW for providing Application Development & Management Services for the in-scope applications. The scope of services to be performed is based on the following sections and is subject to the assumptions made in the section Key Assumptions. Tasks to be performed by JSMNIT are outlined in the section JSMN Responsibilities. The tasks to be performed and/or deliverables to be provided by JSMNHR to enable JSMNIT to discharge the responsibilities are listed in the section JSMNHR Responsibilities.
Scope of services includes:
This section details the tasks to be performed during the life of the project. The responsibilities of the tasks are defined below. The Change Control Procedure will control any deviation that has a potential impact on the project.
Task Objective:
JSMNIT will provide Project Management, development and maintenance services and resources, to fulfil its obligations under this SOW. Prior to the start of the Project, JSMNIT will identify and appoint an individual responsible for the performance of the services known as the JSMNIT Delivery Project Manager. The purpose of this activity is to provide technical guidance and managerial control of JSMNIT project personnel and to provide a framework for project planning, communications, reporting, process adherence and contractual activity. The responsibilities of the JSMNIT Delivery Project Manager are:
JSMNIT, in conjunction with JSMNHR, will establish a regular and comprehensive schedule of project meetings, and reviews.
JSMNIT will report to JSMNHR and JSMN Operations Department as soon as possible on any perceived or anticipated problems, with associated recommended resolution, which may have significant impact on the costs.
Completion Criteria:
This activity will be completed when the end date of the project as mentioned in the section "Estimated Schedule" is reached or Project is completed as stated under Section “Completion Criteria”, whichever is earlier.
Task Objective
The objective of this task is to set up the necessary infrastructure at the JSMNIT ADC location. During this task the connectivity to JSMNHR server from the ADC center is established to enable start of services from the ADC location.

Completion Criteria
This activity is complete when JSMNIT informs JSMN Operations Department and JSMNHR of necessary infrastructure having been established at JSMNIT ADC.

This section details the Responsibilities of JSMNHR . Any deviation that has a potential impact on JSMNIT responsibilities will be subject to section Change Control Procedure. JSMNHR shall allocate / assign the required resources with the necessary skills and authority to execute the responsibilities given below.
Under this SOW, JSMNHR agrees to use commercially reasonable efforts to perform the task(s) listed below or to ensure that J&J Global COE accepts the responsibility to perform the task(s) listed below at no cost to JSMNIT.
JSMNHR is responsible for the identification and interpretation of any applicable laws, regulations and statutes that affect HRDBMS applications to which JSMNIT will have access during this project. It is the responsibility of JSMNHR to ensure that the applications meet the requirements of those laws, regulations and statues.
JSMN Operations will provide suitable office space, desktops (with necessary applications), supplies, furniture and other facilities (including access to printer) with telephone access for the project team while working on the project.
JSMNHR is responsible for the actual content of any data file, selection and implementation of controls on its access and use, and security of the stored data.
JSMNIT follows JSMN standards to ensure compliance as mandated on JSMN standard equipment / environment. JSMNHR will communicate to JSMNIT, project specific security requirements to be followed by JSMNIT at its ADC locations. These Security requirements will be reviewed and mutually agreed upon between JSMNHR and JSMNIT prior to the start of the project and any additional requirements over and above that is available at JSMNIT will be charged to JSMNHR.

JSMNIT will provide every ADC team member a desktop as per JSMNIT standard configuration as specified in the initial requirement document
Project Server:
JSMNHR will provide a project server to the ADC team, which will be used as a data server and as a project repository. The configuration of the server is as follows
Any upgrade required for the JSMNIT desktops will also be provided by JSMNHR.
Software:
JSMNIT will staff the project with JSMNIT employees or with Software Service Provider resources.
The JSMNIT Project Manager and the JSMNHR Project Manager will mutually agree and accept through a mail communication changes, if any, to the staffing plan as provided below. No PCR will be raised for the changes to the staffing plan as long as the scope of the project remains unchanged and Annual contract value does not exceed USD 1 Million. A PCR will be raised if the changes to the staffing plan is due the change in scope of the project and/or the Annual contract value is greater than USD 1 Million. It is the responsibility of JSMNHR Project manager to increase the ICA value in line with the changes to the staffing plan.

Charges for the services to be performed are estimated at US$ 997072
This project will be executed on a time and materials basis. The cost does not include any special infrastructure (like, but not limited to, dedicated link, dedicated LAN, Cell Phones, VPN connectivity & usage charges provided onsite) or tools and travel costs. An Inter Company Agreement (ICA) shall fund the project. JSMNHR shall set up the ICA on acceptance of this SOW.
During the course of this SOW, either party may request a change to this SOW. A Project Change Request (PCR) will be the vehicle for communicating change. The PCR must describe the change; the rationale for the change and the effect the change will have on the project. All such requests will be submitted in writing. Any change to a SOW may result in a change in the Estimated Schedule, Deliverable Items or Charges.
Depending on the extent and complexity of the requested change JSMNIT may charge for the effort required to analyze a requested change. In such instances, JSMNIT will notify JSMNHR in writing of the estimated cost of such analysis.
The changes will be in effect when both parties sign a written Change Authorization. The Change Authorization will modify and take precedence over any inconsistent terms of the applicable SOW or any previous Change Authorization.
